This Software License Agreement (“Agreement”) is made and entered into by and between [Company Name] (“Licensor”), and the user (“Licensee”) accessing and using Licensor’s software (“Software”).
 
1. License Grant
Licensor grants to Licensee a non-exclusive, non-transferable license to use the Software for the purpose of [insert purpose]. The license is limited to the number of users specified in the license agreement and is granted for the term specified in the license agreement.
 
2. Restrictions
Licensee may not:
 
Copy or modify the Software
Reverse engineer or decompile the Software

3. Ownership and Intellectual Property

Licensor warrants that the Software will perform substantially in accordance with the accompanying documentation. However, Licensor does not warrant that the Software will be error-free or that the use of the Software will be uninterrupted.
 
Licensor is not liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Software.
 
5. Termination
This Agreement may be terminated by Licensor if Licensee breaches any of the terms and conditions of this Agreement. Upon termination, Licensee must destroy all copies of the Software and any accompanying documentation.
 
6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [insert governing law]. Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of [insert arbitration provider].
 
7. Entire Agreement
