This Service Agreement ("Agreement") is made and entered into on [Date] by and between [Company], with a principal place of business at [Address] ("Service Provider"), and [Client Name], residing at [Address] ("Client").
 
1. Scope of Services
 
Service Provider shall provide the following services to Client: [Description of Services]. Service Provider shall perform the services in a professional and workmanlike manner and in accordance with industry standards.
 
2. Compensation
 
Client shall pay Service Provider for the services rendered at the rate of [Rate] per [Unit of Time]. Service Provider shall submit invoices to Client on a [Billing Period] basis. Client shall pay each invoice within [Payment Period] days of receipt.
 
3. Term and Termination

4. Confidentiality and Non-Disclosure

Service Provider also agrees not to disclose any such information to any third party without the prior written consent of Client.
 
5. Governing Law and Dispute Resolution
 
This Agreement shall be governed by and construed in accordance with the laws of [State]. Any disputes arising under or in connection with this Agreement shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.
 
6. Limitation of Liability
 
Service Provider shall not be liable to Client for any indirect, special, consequential, or incidental damages arising out of or in connection with the services rendered under this Agreement, even if Service Provider has been advised of the possibility of such damages. In no event shall Service Provider's total liability to Client exceed the total amount paid by Client to Service Provider under this Agreement.
 
7. Independent Contractor
 
Service Provider is an independent contractor and not an employee or agent of Client. This Agreement shall not be construed as creating a partnership, joint venture, or relationship of principal and agent between the parties.
 
8. Entire Agreement
 
This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the subject matter of this Agreement. This Agreement may not be amended or modified except in writing signed by both parties.
